These terms govern your use of the bipanel software, licenses, customer portal, license and update services, and the bipanel website, provided by [Company legal name] ("bipanel", "we"). By creating an account or installing bipanel you agree to them. If you buy as a consumer, the distance sales agreement also applies.
Your account
You're responsible for keeping your account details accurate, your password secret, and for activity under your account. Tell us straight away if you notice unauthorized use.
License
- A license lets you use bipanel on the number of servers and up to the account limit of your plan. It is non-exclusive and non-transferable; you can move it to another server by removing the activation.
- Unlicensed (Community) use is free for up to 3 hosting accounts.
- You may not bypass the license check, modify the software to use it outside your license, or share your license key.
- When a license expires, the sites on your server keep running; after a grace period, creating new accounts is restricted.
Payment and renewal
Prices are in US dollars and exclude applicable taxes. Payments are taken by card through Stripe. Monthly and yearly licenses renew automatically at the end of each period and are charged to your saved card unless you turn auto-renewal off, which you can do at any time in the customer portal. Refunds follow the refund policy.
Updates and support
While your license is valid you get new releases and support. Updates are distributed signed. You're responsible for scheduling updates and backing up your servers.
Your responsibilities
You're responsible for the servers you install bipanel on, the content you host, and your obligations to your own customers. You agree not to use your servers for unlawful content, spam, malware or activity that infringes others' rights. We recommend regular backups.
Availability
We make reasonable efforts to keep the license and update services available; maintenance or unexpected outages can happen. If the license server can't be reached, bipanel keeps working with the last validated license.
Limitation of liability
bipanel is provided "as is". To the extent the law allows, we aren't liable for indirect damages, lost data or lost profits, and our total liability is limited to the license fees you paid us in the previous 12 months. Nothing here limits consumer rights that can't be waived by contract.
Termination
You can close your account at any time. We may suspend or end your license if you seriously breach these terms.
Governing law
If you're a consumer, you keep the protections of the consumer law of your country of residence. For business customers, these terms are governed by the laws of the country where the seller is established.
